Terms of Use

These Terms of Use ("Terms") form a binding agreement between you and Marwood X Pty Ltd (ABN 55 695 551 538) ("Recdr", "we", "us", "our"), the operator of the Recdr service at recdr.com and the Recdr mobile application. By accessing or using the service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
1. Acceptance and eligibility
By creating an account or otherwise using Recdr you confirm that (a) you are at least 16 years of age, (b) you have the legal capacity to enter into a binding agreement, and (c) you accept these Terms. If you are using Recdr on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.
2. Service description
Recdr is a meeting recording and minute-taking service. You record audio using the mobile app or web recorder; we transcribe it using AI, generate a summary, minutes and action items, and distribute those minutes to recipients you configure (for example a Telegram group or a list of email addresses). We also provide read-only share links for completed minutes.
3. Recording consent — your responsibility
You are solely responsible for ensuring you have the legal right to record any conversation before you record it. Australian states and territories (and other jurisdictions) have differing surveillance and listening-device laws; many require the consent of all or some participants before a private conversation may be recorded. By using Recdr you warrant that every recording you make is lawful in the place it was made and that you have obtained any consents required. We recommend telling everyone in the room that the meeting is being recorded — it is good manners as well as good law. We accept no liability for recordings made in breach of any law.
4. Accounts
You sign in with Google or by requesting a magic link sent to your email address. Recdr is a passwordless service — we do not store passwords. You are responsible for maintaining the confidentiality of your email account, devices and authentication tokens, and for all activity that occurs under your account. Notify us immediately via the contact page if you suspect unauthorised access. We may suspend or terminate accounts that we reasonably believe are being used in breach of these Terms or the law.
5. Your content
You retain ownership of your recordings, transcripts, minutes and any other content you create with the service ("Your Content"). You grant us a limited, worldwide, royalty-free licence to host, store, process, transmit and display Your Content solely for the purpose of operating the service — including sending audio to our AI transcription provider and delivering minutes to the recipients you configure. We do not use Your Content to train AI models and we do not publish it except via share links you create.
6. Acceptable use
You agree not to:
- record any person or conversation unlawfully or without required consent;
- upload content that is unlawful, defamatory, or infringes intellectual property or privacy rights;
- use the service to send spam or unsolicited messages via its distribution features;
- attempt to circumvent rate limits, authentication, or other technical controls;
- scrape, copy, or systematically extract content from the service without prior written permission;
- resell or commercially exploit the service except as expressly agreed with us in writing;
- use the service to violate any applicable law or regulation.
7. AI-generated content
Transcripts, summaries, minutes and action items are generated by AI models. AI output may be inaccurate, incomplete, or attribute words to the wrong speaker. You must review minutes before relying on them or distributing them for any consequential purpose (legal, financial, medical, safety or similar). Recdr is not liable for decisions made in reliance on AI-generated content.
8. Storage and retention
Audio recordings are stored in Australia and automatically deleted 30 days after upload. Transcripts, summaries, minutes and action items are retained until you delete the meeting or your account. Share links remain active until you revoke them or delete the meeting. We may remove content that violates these Terms at our discretion.
9. Third-party services
The service integrates with third-party services including Google (sign-in and AI transcription), Amazon Web Services (hosting and storage), Telegram (message delivery) and email providers. We are not responsible for the availability or conduct of any third-party service. Your use of those services is governed by their own terms.
10. Intellectual property
The Recdr name, logo, visual design, source code and service architecture are owned by Marwood X and protected by copyright, trade mark and other intellectual property laws. Nothing in these Terms grants you any right to use the Recdr brand without our prior written consent.
11. Disclaimers
Except as required by law (including the Australian Consumer Law), the service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free or secure, that recordings will always upload, or that transcripts and minutes will be accurate or complete.
12. Limitation of liability
To the maximum extent permitted by law, Recdr and Marwood X will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the service — including loss of recordings or minutes. Where our liability cannot be excluded but can be limited, our total aggregate liability to you for all claims in any 12-month period is limited, at our option, to (a) re-supplying the service or (b) refunding any fees you paid us in that period. Nothing in these Terms excludes or limits any liability that cannot be excluded under the Australian Consumer Law.
13. Indemnity
You agree to indemnify and hold harmless Recdr, Marwood X and our officers, employees and agents from any claim, loss, damage, liability or expense (including reasonable legal fees) arising from (a) recordings you make, including any claim that a recording was unlawful or made without consent, (b) Your Content, (c) your breach of these Terms, or (d) your violation of any law or third-party right.
14. Suspension and termination
We may suspend or terminate your access to the service at any time, with or without notice, if we reasonably believe you have breached these Terms, created legal exposure for us, or used the service in a way that could harm other users. You may delete your account at any time from the app or by contacting us. On termination your right to use the service ends immediately. Sections 3, 5, 12, 13 and 17 survive termination.
15. Changes to the service
We may modify, suspend, or discontinue any part of the service at any time. We will give reasonable notice of material changes that adversely affect active users.
16. Changes to these Terms
We may update these Terms from time to time. We will notify registered users by email or a prominent notice on the site at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
17. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You and Recdr submit to the exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them. Nothing in this section excludes or limits any rights you have under the Australian Consumer Law or any other law that cannot be excluded by agreement.
18. General
These Terms (together with the Privacy Policy) constitute the entire agreement between you and Recdr in relation to the service. If any provision is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
